Solar Industries Share Price Falls Nearly 14% After South Africa's Omnia Holdings Acquisition

Solar Industries India Ltd has entered into an agreement to acquire 100% of the issued ordinary shares of Omnia Holdings Ltd, excluding treasury shares, as per an exchange filing.
The agreement was signed on September 14, 2026, by Solar SA Investments Proprietary Ltd and Solar Overseas Mauritius Ltd.
US$1.355 Billion Cash Deal
The acquisition is being made for ZAR 134.5 per share in cash. The total consideration is US$1.355 billion. Solar Industries will acquire the entire issued share capital of Omnia, excluding treasury shares.
The transaction is not a related party transaction, and Solar Industries’ promoter or promoter group does not have an interest in Omnia, according to the company’s disclosure.
Omnia’s Operations
Omnia is a chemicals company based in Johannesburg, South Africa. Incorporated in 1953, it supplies chemicals and specialised services to the mining, agriculture and chemicals application industries.
The company has a physical presence in 23 countries and serves customers in more than 40 countries through over 70 distribution centres. It has more than 3,500 employees and is listed on the Johannesburg Stock Exchange and A2X Markets.
Revenue at $1.41 Billion
Omnia reported revenue of $1.41 billion for FY26, compared with $1.25 billion in FY25 and $1.18 billion in FY24. Its BME mining business provides blasting systems, explosives, mining chemicals, and metallurgical processing for commercial mining and quarrying.
Deal Completion in 2027
Solar Industries said the acquisition is intended to expand its geographical presence, add technological capabilities, and diversify its operations. The deal requires applicable regulatory, statutory, and competition approvals.
The transaction is expected to be completed in early to mid-2027. After completion, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets.

Solar Industries Share Price Performance
As of September 15, 2026, 3:15 pm, Solar Industries share price was trading at ₹19,225.00, a 13.75% decrease from the previous closing price.
Conclusion
Solar Industries will acquire Omnia for around US$1.355 billion in cash, with completion subject to the required approvals and other conditions.
